Base Ulquiorra wins
Released Grimmjow wins
Sealed Grimm was able to hold off sealed Ulquiorra for long enough to use negacion on him. Perhaps Ulquiorra wasn't expecting anything of Grimmjow so didn't make a particular effort from the get go, but it's something to consider. Other than this, there isn't much to go on - I think the masked Ichigo that faced Grimmjow for the first time was stronger than the masked Ichigo who faced Ulquiorra just before. It would be very close, but I would give Grimmjow the edge - his resurreccion probably doubles his abilities, and I don't believe that base Ulquiorra is twice as powerful as base Grimmjow.
Also, Hallibel's comment about it being perfectly natural for her fraccion to feel fear when seeing Grimmjow fight in his released form makes it seem possible to me that Grimmjow released > Sealed Hallibel, which by default makes him > sealed Ulquiorra. I know the latter is not a great argument, but it's just something which occurred to me.
Released GJ has better chance of winning against Sealed Uqli. The resurrection is a considerable increase in power and gain back of former unique Hollow abilities, which were sealed. Ulqi may have been strong but with the conditions implied in this battle, released GJ should come out as a winner.
I have added a poll. Please try to put up a poll when you are creating a thread. Its not mandatory, but for vs. threads its always an added attraction.

I believe that sealed Ulquiorra wins. The difference between them is too great in every field of combat. Also Ulquiorra is better in Reiatsu and intellect department obviously.
grimmjow was able to hold off ulquiorra in his base form, so if he ressurected he would gain the upper hand, ulquiorra was extremely fast and powerful and pwns with his 1 finger cero but i dont think ulquiorra can hold off grimmjow without releasing
Close, but I could see Grimmjow winning this in the end.
